Responsibilities:

  • Act as a trusted legal advisor to the business, providing guidance on corporate matters, daily operations, and regulatory compliance.

  • Draft, review, and negotiate a wide range of corporate and commercial agreements, including NDAs, service contracts, partnerships, and vendor agreements.

  • Take ownership of corporate documentation, ensuring licenses, permits, and statutory filings are accurate and up to date.

  • Support board meetings, shareholder resolutions, and corporate governance requirements.

  • Play a key role in merger & acquisition (M&A) transactions, supporting the process end to end — from structuring and due diligence to documentation and closing.

  • Prepare and review key transaction documents such as term sheets, share purchase agreements, and shareholders' agreements.

  • Identify potential legal risks in transactions and business initiatives, and proactively recommend practical mitigation strategies.

  • Work closely with internal stakeholders and coordinate with external legal advisors when needed.

  • Handle legal aspects of cross-border transactions, partnerships, and investments, including coordination with overseas counsel.

  • Advise the business on international contracts, trade matters, and regulatory considerations across different jurisdictions.

  • Manage legal processes related to company establishment, including subsidiaries and joint ventures (both local and overseas).

  • Support corporate restructuring, capital changes, and other corporate actions.

  • Liaise with notaries, regulators, and government authorities on corporate and compliance matters.

  • Stay up to date on changes in laws and regulations that may impact the business, and translate them into clear, actionable guidance.

  • Develop and implement internal legal policies and compliance frameworks to support sustainable growth.

  • Provide ongoing legal support to internal teams such as Finance, HR, Sales, and Marketing.

  • Handle legal disputes, claims, and pre-litigation matters when required, working with external counsel as appropriate.

Qualifications

  • Bachelor's degree in Law (Master's degree is a plus).
  • Minimum 4–7 years of experience as Legal Counsel, Legal Manager, or Associate (law firm or in-house).
  • Hands-on experience in corporate legal, M&A, and cross-border transactions.
  • Strong understanding of company establishment and corporate structuring.
  • Excellent contract drafting and negotiation skills.
  • Strong business mindset with practical, solution-oriented legal advice.
  • Fluent in Bahasa Indonesia and English (written and spoken).
