Job Description

  • Ensure the company complies with all corporate laws, regulations, and IDX/OJK requirements.

  • Draft, review, and update internal policies and corporate governance documents in line with public company standards.

  • Act as the key liaison with legal advisors, regulators (OJK, IDX), and other relevant authorities.
  • Provide legal guidance on regulatory risk and propose strategies for risk mitigation.
  • Lead legal aspects of the Initial Public Offering (IPO) process, including due diligence, prospectus review, and liaising with underwriters, notaries, and external counsel.
  • Review and coordinate legal documentation required by OJK and IDX.
  • Support the preparation and submission of corporate disclosures and periodic reporting.
  • Draft, review, and negotiate various commercial agreements (vendor, distributor, licensing, etc.).
  • Provide legal advice to internal departments including operations, finance, procurement, and HR.
  • Manage legal disputes, litigation, and coordinate with external legal counsel when necessary.
  • Intellectual Property & Licensing: Oversee the registration and protection of the company's intellectual property including trademarks, patents, and industrial designs.
  • Ensure all licenses and permits related to manufacturing and retail activities are compliant and up-to-date.

Requirements:

  • Bachelor's Degree in Law (Master's Degree is a plus).
  • Licensed Advocate and member of PERADI.
  • Minimum 5+ years of relevant legal experience, preferably in manufacturing or retail sector.
  • Proven experience handling IPO process and liaison with OJK and IDX.
  • Strong understanding of Indonesian company law, capital market law, and regulatory compliance.
  • Excellent analytical, communication, and negotiation skills.
  • Fluent in English, both written and spoken (Mandarin is plus)
