Job Summary
DRX is currently hiring a Corporate Secretary who will serve as a key liaison between C-level executives, shareholders, regulatory bodies, and business partners. This role is essential in ensuring the company's adherence to legal, governance, and compliance requirements. You will support Top Management's effectiveness through the management of corporate documentation, facilitation of board and shareholder meetings, and ensuring timely and accurate disclosure of corporate information in accordance with OJK (Otoritas Jasa Keuangan) and other applicable regulations.
Candidates with a background in Tbk (public listed companies) or the financial services industry are preferred.
Key Responsibilities
Act as the main point of contact between the company, Board of Directors, shareholders, regulatory authorities, and business partners.
Organize and coordinate Board of Directors meetings, Board Committee meetings, and General Meetings of Shareholders (GMS), including preparing agendas, materials, and minutes.
Ensure compliance with all relevant statutory and regulatory requirements, especially those set by OJK.
Maintain and update corporate documents, such as the Articles of Association, company licenses, and shareholder registers.
Ensure timely submission of mandatory reports and disclosures to OJK, and other relevant authorities.
Advise the Board and senior management on corporate governance best practices and regulatory developments.
Safeguard corporate records, minutes, and confidential information with a high degree of professionalism and discretion.
Coordinate with external stakeholders such as legal advisors, notaries, auditors, and regulators.
Manage internal policies related to governance, ethics, and corporate transparency.
Support the onboarding and training of board members and executives regarding corporate governance responsibilities.
Qualifications:
Bachelor's degree in Law, Business Administration, Corporate Governance, or related field.
Professional certification as a Corporate Secretary or governance-related certification is an advantage.
Minimum of 3–5 years of relevant experience in corporate secretarial roles, preferably within a Tbk or financial services company.
In-depth understanding of OJK and IDX regulations, Indonesian Company Law, and corporate governance principles.
Experience in preparing and managing regulatory filings and disclosures.
Fluent English and Mandarin speaker.
