About Our Client
A rapidly growing fintech holding company with multiple operating subsidiaries across digital payments, lending, financial services, and technology platforms in Indonesia. As they scale their businesses, they are seeking a Head of Legal to build and lead a strong legal function that supports growth while ensuring regulatory compliance and sound risk management.

Job Description
Key ResponsibilitiesLegal Strategy & Leadership

• Build, structure, and lead the Group Legal function across the holding company and its subsidiaries.
• Develop legal strategies aligned with business objectives and growth plans.
• Act as a trusted legal advisor to the CEO, Board, and senior management.

Team Building & Capability Development

• Recruit, mentor, and manage the internal legal team, including junior and mid-level lawyers.
• Establish clear workflows, performance standards, and professional development paths for the team.
• Determine when to handle matters in-house versus engaging external counsel.

Legal Systems, Policies & Governance

• Design and implement legal frameworks, policies, SOPs, and governance structures suitable for a fintech holding company.
• Set up contract management systems, approval matrices, and legal risk controls.
• Ensure proper documentation, record-keeping, and legal reporting across entities.

Regulatory & Compliance Advisory

• Provide hands-on regulatory advisory, particularly relating to Indonesian fintech regulations (e.g., OJK, BI, Kominfo, data protection, AML/CFT).
• Monitor regulatory developments and assess their impact on business operations.
• Support licensing, regulatory submissions, audits, and regulator engagements.

Contracts & Commercial Matters (Hands-On)

• Personally draft, review, negotiate, andfinalize a wide range of contracts, including:

• Technology and SaaS agreements

• Financing, lending, and partnership agreements
• Vendor, outsourcing, and service agreements

• Shareholder, investment, and corporate agreements

• Ensure contracts are commercially sound while managing legal and regulatory risks.

Corporate & Transactional Support

• Oversee corporate secretarial matters for the holding company and subsidiaries.
• Support M&A, restructuring, fundraising, and strategic transactions from a legal perspective.
• Coordinate with external counsel on complex transactions when required

The Successful Applicant
Professional Qualifications

• Bachelor's degree in Law (SH); Master's degree is an advantage.
• Fully qualified to practice law in Indonesia.

Experience

• 10-15+ years of legal experience, preferably starting with a top-tier or reputable law firm.
• Strong background in regulatory advisory, especially in fintech, financial services, or technology sectors.
• Prior in-house experience in fintech, financial institutions, or tech companies is highly preferred.
• Proven experience in building legal teams and legal systems from scratch or scaling them significantly.

Skills & Competencies

• Deep understanding of Indonesian financial services and fintech regulations.
• Excellent contract drafting, negotiation, and risk assessment skills.
• Ability to balance strategic thinking with hands-on execution.
• Strong leadership, communication, and stakeholder management skills.
• Commercially minded with the ability to support fast-moving businesses.
