**What’s the role?**

The Legal Counsel will be accountable for the following:

- To provide and/or act as integrator in the provision of timely, professional and fit-for-purpose legal advice and support to certain DS business(es)
- Participate in external negotiations with all applicable Government agencies, NOCs, other IOCs and contractors/vendors and drafting agreements to ensure that Shell’s legal and commercial interests are well-represented and projects are delivered to meet performance targets
- Proactively identify commercial and legal risks and rewards, ensuring appropriate alternative commercial and legal structures and strategies are considered, and documents are appropriately drafted to reflect commercial decisions, at all times consistent with professional standards, legal obligations, the Shell General Business Principles and the Shell Control Framework
- Ensure that legal considerations, including mitigation of legal risks identified, are taken into account in operations, planning activities, contracting, new business/project development, including relations with relevant third parties
- To devise, manage and provide legal advice on Downstream related claims for and against the companies’ businesses and functions prior to and during commencement of litigation to ensure:
a) speedy resolution of all disputes;
b) minimizing exposure to civil or criminal liabilities;
c) minimizing legal costs; and
d) the interests of the companies are protected always
- Providing legal advice and support to other DS or group businesses or any potential new growth areas/projects in or outside country from time to time as required by MC
- Keep MC appraised of material legal and commercial activities/risks/issues/developments and, as appropriate, to the AGC DS Asia
- To ensure optimal use of internal and external legal resources to ensure provision of professional, timely, cost effective and commercial legal advice and support, balancing both risk and value
- Maximize benefits and minimize risks that could represent any kind of loss to shareholders, while delivering the business objectives.
- To keep the MC/HoL appraised of legal and commercial issues and developments
- To ensure the proper management of corporate matters of Shell entities and upholding the principles of corporate separateness in-country.
- To ensure Shell’s reputation, particularly with respect to legal issues and as an employer of lawyers, is maintained and enhanced.
- Monitor relevant legal developments and communicate these to the relevant businesses and functions
- Work with commercial colleagues to develop the legal and commercial structure of existing business activities and any new business opportunities that arise
- Create a positive, proactive culture encouraging a learner mindset, excellent performance and collaboration
- Committed to and focused on continuous improvement within the overall legal team
- Propose strategies and provide legal support that enable safe, efficient and agile decisions in order to secure competitive advantages
- Accountable for: (i) maintaining in-house legal expertise through informal and formal training; (ii) coaching and personal development of an effective legal team of professionals; (iii) developing local lawyers and upskilling them for future leadership roles.

**What we need from you**
- Law degree and professional legal qualification
- Extensive legal experience and incisive grasp of legal issues, demonstrated learner mindset and capability to expand knowledge in relevant areas of law and regulatory.
- Excellent legal and strategic judgment, coupled with strong business partnering and stakeholder management skills
- Successful track record of actively scanning range of external sources to identify innovative approaches and bringing them into Shell
- Ability to foster a high performing team
- Ability to establish targeted and sustainable relationships with key internal and external stakeholders, often at senior levels
- Ability to build a shared vision around the process and ensure a smooth execution of the vision across various organizational interfaces
- Promotes a continuous improvement mindset and challenges self and others to identify and implement opportunities for improvement
- Ability to work with both internal and external stakeholders with diverse external background, including senior government officials, senior lawyers/business representatives
- Excellent business acumen, risk assessment ability and ability to balance competing interests of businesses at varied stages of their evolution
- Ability to develop and sustain relationships and trust with business and functions at all levels and in a range of cultures
