**JOB DESCRIPTIONS**:

- Keeping up-to-date with laws, regulations, and professional codes relevant to the Company’s business/
operations and ensure compliance with legal requirements in the area of Commercial Law, Competition, Advertising Law, Environment, Data Protection, and focusing on specific legislation such as electric vehicles, excises, e-commerce, and other applicable legal frameworks;
- Responsible to handle the overall legal transaction of the company;
- Manage Corporate Secretary functions, arranging General Meeting of Shareholders, both annual and
extraordinary, arranging BOD and BOC meetings, preparing minutes of meetings, acting as corporate
document repository to maintain corporate legal documents, documents of BOD and BOC as well as
various committees in a proper and effective manner;
- Collaborate with senior management in the development of corporate standards and policies and oversee the implementation to avoid or minimize legal risk in line with the regulation in all corporate matters activities;
- To secure compliance of business operations with relevant laws and regulations;
- Negotiating, reviewing, and drafting various agreements, from procurement agreements, partnership agreements, Joint Venture Agreement, and Joint Operation Agreement;
- Handling of financing transactions or refinancing projects (loan agreements) for the group of companies;
- Draft, review, negotiate, and legal analysis by providing legal advice on matters relating to company business activities and transactions to avoid or minimize legal risk and to comply with the prevailing laws and regulations;
- Provide day-to-day legal advice and consultancy for all departments and external legal counsel, including but not limited to, analyzing legal risks/opportunities when advising the current business or when entering a business project, support associated with business process improvement, product development, operational matters, and special projects;
- Review, draft, and negotiate commercial and operational contracts and ensure the risk of the
The company from the commercial and operational side;
- Manage and advise on corporate governance in accordance with the Articles Association of the
Company and the regulation;
- Maintain accuracy and completeness of legal documents;
- Manage and develop the subordinate to perform optimum.

**REQUIREMENTS**:

- Minimum of Bachelor’s degree major in Law from a reputable university
- Master’s degree preferred
- Hold PERADI Certification is preferred
- Fluent in English and Bahasa
- 1-2 years of experience as Head of Legal Dept role in business environment
- Or >4 years of experience as Senior Manager in Legal
- Strong legal experience in corporate and commercial matters
- Outstanding communication skills at any level, especially to key stakeholders at all levels including senior management.
- Strong contract drafting and high attention to details
- Advisory skill in the legal aspect
- Analytical and conceptual thinking skills, ability to analyze and interpret data
- Ability to perform a risk assessment and management
- Ability to think tactically and strategical; cross-functional thinking and the ability to translate business strategy into function and also have pragmatic business sense and understanding of core business fundamentals
- Problem-solving and decision-making skills
- High degree of professional ethics and integrity Perform leadership skills to manage people and crisis situations
- Outstanding analytical skills
- Have good ability in persuasion and negotiation skills
- Sound judgment and exceptional reasoning skills
- Self-driven
